1. Purpose
These terms define the conditions of the partner programme offered by EURL PEIGNARD, operating the “Partenairy” brand (the “Operator”), to any adult (the “Partner”) wishing to entrust the management of an e-commerce store selling digital products.
2. Programme description
The Partner opens and verifies a Shopify account in their own name. The Operator handles store design, digital product selection and listing, advertising, optimisation and customer service. The account remains in the Partner’s name throughout the partnership, with the Operator having the same level of access as the Partner in order to manage it.
3. Partner’s obligations
- Create and verify the Shopify account in their own name and provide accurate information;
- Grant the Operator the access required to manage the store;
- Do not modify or intervene in the store without the Operator’s prior agreement;
- Comply with the legal and tax obligations that apply to them as the account holder.
4. Operator’s obligations
- Design, configure and manage the store with due care;
- Cover all operating costs (advertising, products, tools, subscriptions and transaction fees);
- Provide customer service and order follow-up;
- Pay the Partner their share of revenue and report on activity.
5. Setup timeframe
Complete store configuration requires a minimum of 10 days from account verification. This timeframe is indicative and may vary depending on the niche, account approval and third-party platform timeframes.
6. Collection and distribution of revenue
Revenue generated by the store is collected by the Operator, who covers all operating costs. Once payment has been received, the Operator pays the Partner a share corresponding to 20 % of revenue, with the remaining 80 % retained by the Operator to cover operating costs and its services.
The Partner’s share is paid according to the frequency and arrangements specified in the individual contract. The Partner remains solely responsible for their tax obligations on the amounts received.
This clause governs a particular financial arrangement (collection by the Operator while the account is in the Partner’s name): the precise calculation, supporting documentation and payment arrangements must be specified and legally approved in the individual contract.
7. No income guarantee
The Partner acknowledges that the programme constitutes neither a financial placement, nor an investment offer, nor a promise of earnings. Income depends on the store’s actual performance and may vary, be deferred or be zero. The Operator does not guarantee any result.
8. Account ownership and access
The Shopify account is opened in the Partner’s name. Under this programme, the Partner grants the Operator management access at the same level as their own for the duration of the partnership. The Operator acts under the management mandate defined in the contract.
9. Duration, termination and the store after termination
The partnership is entered into for an initial term of 6 months, renewable by agreement between the parties. Either party may terminate it by giving 1 week’snotice in writing.
If the partnership ends, the store and its content, created and operated by the Operator, are deleted. The Partner is informed of this and expressly accepts it. Amounts due for the elapsed period remain payable in accordance with Article 6.
10. Liability
The Operator is subject to an obligation to exercise due care, rather than an obligation to achieve a specific result. The Operator cannot be held liable for account suspension by a third-party platform, a supplier’s policy change or any event beyond its reasonable control.
11. Intellectual property
Elements created by the Operator (design, content and campaigns) remain its property unless the contract provides otherwise. The “Partenairy” brand and its distinctive elements remain the Operator’s exclusive property.
12. Personal data
The processing of personal data is described in the privacy policy, which complies with the GDPR.
13. Governing law and disputes
These terms are governed by French law. In the event of a dispute, the parties shall seek an amicable resolution before taking any action. Failing this, the competent courts in the jurisdiction of the Operator’s registered office (Rennes) shall have jurisdiction, subject to the protective rules applicable to a Partner who is a consumer and who may use a consumer mediator free of charge.
